Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between StokeForge, LLC ("StokeForge," "we," "us," or "our") and you or the entity you represent ("Customer," "you," or "your"). By creating an account, accessing, or using any StokeForge service, you agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you may not use our Services.
Description of Services
StokeForge provides a cloud-based software platform for small and mid-size manufacturers. Our current product suite includes:
- StokeForge Strategy™: AI-assisted strategic planning, SWOT analysis, and goal-tracking for manufacturing businesses
- StokeForge Quoting™: Automated quoting and cost estimation for custom manufacturing work
- StokeForge Production™: Production scheduling and shop floor monitoring (availability subject to subscription tier)
- StokeForge Purchasing™: Supplier management and procurement workflow tools (coming soon)
We reserve the right to modify, add, or discontinue features at any time, subject to reasonable notice to active subscribers.
Account Registration
To access our Services, you must register for an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the security and confidentiality of your login credentials
- All activity that occurs under your account
- Promptly notifying us of any unauthorized access or suspected breach at security@stokeforge.com
- Ensuring that all users added to your account comply with these Terms
You may not share login credentials among multiple users. Each user must have their own account. One account per company seat is required.
Subscription & Billing
Subscription Plans
StokeForge offers subscription plans priced per product and tier. Current pricing is available at stokeforge.com/pricing. Some products are billed annually (e.g., StokeForge Strategy), while others are available on a monthly basis.
Payment
All fees are due and payable in advance of the subscription period. You authorize us to charge your designated payment method on the applicable billing date. Failure to maintain a valid payment method may result in suspension of access.
Auto-Renewal
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We will send a reminder at least 30 days prior to annual renewal billing.
Price Changes
We may adjust pricing with at least 60 days' written notice before your next renewal date. Your continued subscription after that date constitutes acceptance of the new pricing.
Refunds
All fees are non-refundable except as required by applicable law, or in the event of a material service failure we caused. If you cancel mid-period, your access continues until the end of the current paid term; no pro-rata refunds are issued. Refund requests may be submitted to billing@stokeforge.com within 30 days of the charge.
Taxes
Fees are exclusive of applicable taxes. You are responsible for any sales, use, or other taxes associated with your subscription, except for taxes on our net income.
Acceptable Use
Your use of our Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you may not:
- Use the Services for any unlawful purpose or in violation of applicable law
- Input, process, or transmit data that requires ITAR, EAR, or defense-specific export licensing (see Acceptable Use Policy)
- Attempt to gain unauthorized access to any part of the Services or any other system
- Resell, sublicense, or provide access to the Services to third parties without written authorization
- Interfere with or disrupt the integrity, security, or performance of the Services
Intellectual Property
StokeForge IP
The Services, including all software, algorithms, designs, text, graphics, and methodologies, are and remain the exclusive property of StokeForge and its licensors. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes during your subscription term.
Your Content
You retain full ownership of all data, content, and materials you upload or create within the platform ("Customer Data"). You grant StokeForge a limited license to host, store, process, and transmit your Customer Data solely to provide the Services. We do not use your Customer Data for training AI models, marketing, or any purpose other than operating the Services on your behalf.
Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant StokeForge a perpetual, royalty-free license to use that feedback without any obligation to you.
Confidentiality
Each party agrees to keep confidential all non-public, proprietary information disclosed by the other party ("Confidential Information") and to use it only for purposes of performing under these Terms. This obligation does not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without use of the Confidential Information; or (d) must be disclosed by law or court order, provided the disclosing party is given reasonable prior notice.
StokeForge treats all Customer Data as Confidential Information. Our employees are bound by confidentiality obligations and access Customer Data only on a need-to-know basis for support or operations.
Your Data
We process your data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement. You represent that you have all necessary rights and consents to submit Customer Data to our platform. StokeForge is a data processor with respect to personal data within Customer Data; you remain the data controller.
Upon termination of your account, we will retain your Customer Data for 90 days, after which it will be permanently deleted. You may request an earlier deletion or a data export during that window by contacting support.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
StokeForge does not warrant the accuracy of any output, recommendation, or analysis generated by its AI-assisted features. Strategic plans, SWOT analyses, quotes, and other outputs are tools to assist your decision-making — not professional legal, financial, or engineering advice. You are solely responsible for validating and acting on any information generated by the platform.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOKEFORGE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES — WHETHER IN CONTRACT, TORT, OR OTHERWISE — WILL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT WILL STOKEFORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless StokeForge and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Services in violation of applicable law; or (c) any Customer Data that infringes any third-party right or violates any law.
Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting billing@stokeforge.com. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your access immediately, without notice, if: (a) you violate these Terms or our Acceptable Use Policy; (b) you fail to pay fees when due and do not cure the failure within 10 days of notice; or (c) your use creates legal or security risk for StokeForge or other users.
Upon termination, the following sections survive: Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
Governing Law & Disputes
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law provisions. Any dispute arising from these Terms will be resolved exclusively in the state or federal courts located in Michigan, and both parties consent to personal jurisdiction in those courts.
Before initiating formal legal action, each party agrees to provide the other with 30 days' written notice and a good-faith opportunity to resolve the dispute informally.
Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days in advance. Minor changes (clarifications, non-substantive edits) may be made at any time and will be noted by updating the "Last updated" date above. Your continued use of the Services after changes take effect constitutes your acceptance.
